Valeant Pharmaceuticals Acquires Obagi Medical Products

The companies will partner on developing skin treatments and other products.

Obagi Medical Products Inc. today announced that it entered into a definitive merger agreement with Valeant Pharmaceuticals International Inc. under which Valeant will acquire all of the outstanding common stock of Obagi for $19.75 per share in cash. The transaction, which values Obagi common stock at approximately $360 million, was unanimously approved by the Obagi Board of Directors.

Watson Pharmaceuticals Acquires Uteron Pharma SA

The pharmaceutical firm’s acquisition is aimed to expand its pipeline of women’s health products.

Watson Pharmaceuticals, Inc. today announced that it has completed the acquisition of Belgium-based Uteron Pharma SA for $150 million in cash up front, and up to $155 million in potential future milestone payments.  The acquisition of Uteron expands Watson's Global Brands pipeline of Women's Health products including two potential near term global commercial opportunities in contraception and infertility, and one novel oral contraceptive, projected to launch globally in 2018.  Several additional products in earlier stages of development are also included in the acquisition.

Scholle Packaging Acquires Controlling Interest in Flexpack

The companies' specialties include pharmaceutical packaging, including stand-up pouches, barrier films and performance products.

Scholle Packaging, a leading provider of flexible performance packaging solutions, announced today that they have acquired controlling interest in the assets of the Brazil-based packaging manufacturer Flexpack.

Flexpack designs, manufactures and provides stand-up pouch packaging, barrier films, and performance packaging for the Latin American market, for applications such as: processed meats, sauces, fresh pasta, dairy products, nuts, automotive fluids,  healthcare, and pharmaceutical products.

Warburg Pincus Acquires JHP Pharmaceuticals

The acquired company specializes in manufacturing and packaging of sterile injectable products.

JHP Pharmaceuticals LLC, a specialty pharmaceutical company that acquires, develops, manufactures and sells sterile injectable products, today announced that it has been acquired by an affiliate of Warburg Pincus, a leading global private equity firm focused on growth investing, from JHP Holdings, LLC, an entity majority-owned by Morgan Stanley Principal Investments, for $195 million on a debt-free, cash-free basis.  JHP's current management team will continue to hold an interest in the company. Additional terms of the transaction were not disclosed.

Gilead Sciences to Acquire YM BioSciences

The pharmaceutical packaging and development company’s acquisition adds to its oncology and inflammation treatment pipeline.

Gilead Sciences, Inc. and YM BioSciences Inc. announced today that the companies have signed a definitive agreement under which Gilead will acquire YM for U.S.$2.95 per share in cash. The transaction has received the unanimous approval of YM’s Board of Directors, and values YM at approximately U.S.$510 million, with YM reporting C$125.5 million in cash and cash equivalents as of September 30, 2012. Gilead plans to fund the acquisition with cash on hand. The transaction is expected to close in the first quarter of 2013.

Smith & Nephew, the global medical technology business, announced today that it has signed an agreement to acquire substantially all of the assets of Healthpoint Biotherapeutics for $782 million in cash. The transaction is subject to regulatory approval and is expected to close in December 2012.
